Business Litigation Bob McGaughey is past Chair of the Oregon State Bar Business Litigation Section. We have represented parties in a wide variety of contract disputes including licensing & technology agreements, sales contracts, employment & stock option agreements, mergers & acquisition agreements and real estate. We represent creditors who want to pierce the corporate veil and imposed liability on the owners of corporations and limited liability companies. We have defended a manufacturing company in technology licensing & patent dispute through hearing in an arbitration. We have litigated non-competition agreements. We have represented both buyers and sellers in disputes arising out of the sale of businesses. We represented the former owner of company which had merged into a public company in a case involving securities and employment contract issues. We have represented the purchaser of a restaurant who alleged improper accounting records and breach of warranty and contract issues. We have litigated non-competition agreements. For more than 26 years, we have represented victims of financial fraud in actions against stock brokers, investment advisors, attorneys, CPAs and others. Bob is the author of the leading treaties on Oregon’s securities law: The Oregon Securities Law Handbook. We represent victims in state (Oregon & Washington) and federal courts and in arbitrations like FINRA. Bob McGaughey has represented victims in two of the most important Oregon Supreme Court cases: Prince v. Brydon and Computer Concepts, Inc. v. Brandt. Bob McGaughey is past Chair of the Oregon State Bar Securities Regulation Section. We represent business owners in lawsuits and arbitrations arising out of the breach of duty owed by one business owner to the other. We have represented shareholders in family corporations, LLC members, limited partners and general partners in breach of fiduciary duty lawsuits. Tried a 2-week trial in Clark County arising out of partnership break-up, breach of fiduciary duty and valuation of business assets. Tried a 2-week jury trial in Multnomah County over the breach of fiduciary duty among members of a LLC. We represent employees and subsequent employers in disputes over non-competition and non-solicitation agreements. Closely Held Family Business Claims We represent owners of family businesses in disputes among the owners. We have represented shareholders, partners and LLC members, both in litigation with the courts and in arbitration. Bob McGaughey is the author of the Oregon Corporate Law Handbook and the Washington Corporate Law Handbook. He has served on OSB committees drafting part of the Oregon Business Corporation Act, including the statute dealing with shareholder oppression actions. Bob McGaughey is a frequent speaker before attorney and CPA groups on the rights of shareholders and LLC members.
